Welcome to Callably. These Terms of Service ("Terms") govern your access to and use of the Callably platform, website, and services (collectively, the "Service") operated by Code Discoveries ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

• "Account" means your registered account on the Callably platform.
• "User" means any individual or entity that accesses or uses the Service.
• "Content" means any data, text, audio, recordings, transcriptions, or other material processed through the Service.
• "Subscription" means a paid plan that grants access to the Service features.

2. Account Registration

To use the Service, you must create an Account by providing a valid email address and password. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your Account credentials.
• Promptly notify us of any unauthorized access to your Account.
• Accept responsibility for all activities that occur under your Account.

You must be at least 18 years of age or the age of majority in your jurisdiction to create an Account.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to violate any applicable law, regulation, or third-party rights.
• Transmit or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use the Service to send unsolicited communications (spam) or for any form of telemarketing that violates applicable laws.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or harvest data from the Service.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Record calls or process communications without obtaining all required consents under applicable law.

4. Description of the Service

Callably is a phone-to-CRM integration platform that:

• Connects phone systems (such as RingCentral, Twilio, Plivo, CallRail, smrtPhone, and ClickSend) to CRM platforms via webhooks.
• Processes call recordings using AI-powered transcription (via OpenAI Whisper).
• Generates call summaries, extracts contact information, and scores leads using AI.
• Syncs SMS messages and call data to your configured webhook destinations.
• Provides a lead management dashboard with activity tracking.

5. Subscription Plans and Billing

5.1 Plans and Pricing

The Service is offered through various subscription plans with different feature sets and usage limits. Current plans and pricing are displayed on our website and may be updated from time to time.

5.2 Free Trial

New accounts may receive a free trial period. During the trial, you have access to the Service features as described at the time of registration. No credit card is required to start a free trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

5.3 Billing

Subscriptions are billed through our billing partner, Chargebee. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the rate specified for your chosen plan. All fees are stated in US Dollars unless otherwise specified.

5.4 Cancellation

You may cancel your subscription at any time through the Account dashboard. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• Your data will be retained for a reasonable period to allow you to export it before deletion.

5.5 Refunds

Subscription fees are generally non-refundable. However, if you cancel within 7 days of your first paid subscription and have not extensively used the Service, you may request a refund by contacting us. Refund requests are evaluated on a case-by-case basis at our discretion.

6. Data Handling

6.1 Your Data

You retain ownership of all Content you submit or process through the Service. By using the Service, you grant us a limited license to process your Content solely for the purpose of providing and improving the Service.

6.2 Data Processing

The Service processes your data as follows:

• Call recordings are downloaded, compressed, and sent to OpenAI for transcription. Transcriptions and summaries are stored in your account.
• SMS messages are captured from your phone provider and stored as lead activities.
• Contact information extracted by AI is stored in your leads database.
• Webhook deliveries send your processed data to your configured destination URLs.

6.3 Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS), secure credential storage, and access controls. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

6.4 Data Retention

Your data is retained for as long as your account is active. Upon account deletion, we will delete your data within 30 days, except where retention is required by law.

7. Third-Party Services

The Service integrates with third-party services, including but not limited to:

• Phone Providers: RingCentral, Twilio, Plivo, CallRail, smrtPhone, ClickSend
• AI Processing: OpenAI (for transcription and summarization)
• Billing: Chargebee (for subscription management and payment processing)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Code Discoveries and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
• WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

10. Indemnification

You agree to indemnify, defend, and hold harmless Code Discoveries and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any Content you submit through the Service.

11. Account Termination

We reserve the right to suspend or terminate your Account at any time if:

• You violate these Terms or any applicable law.
• Your use of the Service poses a security risk or may harm other users.
• Your Account has been inactive for an extended period.
• Required by law or regulation.

You may delete your Account at any time through the Account settings. Upon deletion, your data will be removed in accordance with our data retention policy.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may also update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Code Discoveries operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
